This is our current Terms of Service, last updated 2025-06-10.

Welcome to Northsocial.ca! These Terms of Use (“Terms”) govern your access to and use of the Northsocial.ca website, app, and related services (collectively, the “Platform”). Northsocial.ca (available at northsocial.ca) and in various device app stores under the same name, is operated by Zynim Media Inc., a federally incorporated Canadian company based in British Columbia. By creating an account or using any part of the Platform, you agree to be bound by these Terms. If you do not agree, you must not use Northsocial.ca. These Terms are intended to be professional and enforceable, while also being reasonably readable. For clarity, we have included section headings and plain-language summaries. 

Key Defined Terms: In these Terms, “we,” “us,” and “our” refer to Northsocial.ca / Zynim Media Inc. “You” or “user” refers to any person using the Platform, including individual users and business or advertiser account holders. “Content” means any text, images, videos, or other material that users post, upload, transmit, or otherwise make available on the Platform. 

Account Creation and Eligibility 

Eligibility: Northsocial.ca is intended only for users residing in Canada. By registering, you represent that you are a Canadian resident and that you will use the Platform exclusively from within Canada. You must also be at least 18 years old to use Northsocial.ca. Users under the age of 18 cannot provide valid consent to use online services under applicable laws. We do not knowingly allow children under 18 to use Northsocial.ca or collect their personal information. 

Account Registration: To access many features, you must create an account with accurate, complete information. This includes providing your real name (or business name for a business account), a valid email address, and any other information we request at signup. You are responsible for maintaining the confidentiality of your account login credentials and for all activities that occur under your account. If you believe your account has been compromised, you must notify us immediately. 

Account Types: We may offer different types of accounts (e.g., personal profiles, business pages, advertiser accounts). Each type may have additional terms or requirements, which will be clearly communicated to you when you sign up for that type of account. 

Third-Party Login: Northsocial.ca does not currently support login through third-party identity providers. You must create a unique username and password for Northsocial.ca. (If we introduce third-party login options in the future, we will update these Terms and inform you of any additional terms that apply.) All registration information you provide must be truthful, and you agree to keep it up-to-date. 

Acceptable Use and User Conduct 

By using Northsocial.ca, you agree to behave respectfully and lawfully. Prohibited Conduct: You will not use the Platform to: (a) engage in any unlawful, fraudulent, or malicious activity; (b) harass, threaten, or defame any person or entity; (c) post or share any content that is illegal, hateful, obscene, incites violence, or violates any rights of others (including intellectual property rights and privacy rights); (d) distribute spam, chain letters, or any form of unsolicited advertising; (e) impersonate any person or misrepresent your affiliation; or (f) attempt to interfere with the Platform’s proper working (such as transmitting viruses, malware, or engaging in excessive automated use). 

You are responsible for the content you post and your interactions with others on the Platform. Community Guidelines: We may issue and update community guidelines or policies (e.g., rules for posting, marketplace usage, group moderation standards) from time to time. You agree to follow any such guidelines when using Northsocial.ca. Violation of the guidelines can lead to content removal or other enforcement action on your account, as described in the Moderation and Enforcement section. 

User-Generated Content and License Grant 

Your Content: Northsocial.ca is a user-generated content platform – you can share posts, comments, photos, and send messages. We do not claim ownership of the content you post; you retain ownership of your intellectual property in your content. However, to provide our services, we need certain permissions from you for that content. 

License to Northsocial.ca: By submitting, posting, or displaying content on Northsocial.ca, you grant us a worldwide, royalty-free, sublicensable, transferable license to use, copy, modify, reproduce, distribute, prepare derivative works of, publish, and display that content (along with your username or account name) in connection with operating and promoting the Platform and our business. This license enables us, for example, to display your posts to other users, to use excerpts for marketing Northsocial.ca (such as showcasing popular content on our homepage or social media accounts), and to make backups of content on our servers or on content delivery networks. The license is non-exclusive (you can still use your content however you like or let others use it), but it is broad in scope so that we can provide evolving services on Northsocial.ca. 

Duration of License: This content license ends when you remove or delete your content from the Platform, or if your account is deleted (by you or by us in accordance with these Terms). 

If you remove content, the license will generally terminate, but: for a limited time (and no longer visible to other users), your content may remain in our system backups. For example, when you delete a post, we will remove it from active view on the Platform, but our server backups might retain that post for a period of time. However, please note that if your content was public, it may continue to exist in caches or copies outside of our control even after you delete it. Northsocial.ca cannot control or guarantee the removal of content that other parties have obtained. We also reserve the right to retain certain information as necessary to comply with legal obligations or to resolve disputes, as described in the Data Retention section of our Privacy Policy. 

Data Storage and Distribution: Content that you post in areas of the Platform designated as private (such as private messages or private groups) will be stored and processed exclusively within Canada. Public content that you post (for example, posts or comments visible to all users, Marketplace listings, or business profile information) may be stored or cached on servers outside of Canada. We will notify you at the time of posting if content is public and may be stored internationally. All public content is also archived on Canadian servers for backup and redundancy. We make this distinction to protect your privacy while ensuring the Platform functions smoothly for all users. 

Your Promises about Content 

You represent and warrant that you have all necessary rights to post the content that you share on Northsocial.ca, and that our use of such content in accordance with the license above will not violate any law or infringe any third party’s rights. If your content contains any material (e.g., images, music, or video clips) that is subject to someone else’s intellectual property or privacy rights, you must have obtained all necessary permissions to include that material in your content. You also agree not to upload or transmit any viruses, spyware, or other malicious code with your content. 

No Liability for User Content 

Northsocial.ca is not responsible or liable for any user-generated content posted on the Platform. We do not guarantee the accuracy, integrity, or quality of any content posted by users. You understand that by using the Platform, you may be exposed to content that you find offensive, indecent, or objectionable. The views expressed by users are their own and do not necessarily reflect ours. While we have rules and moderation in place, we cannot guarantee that all inappropriate content will be caught or removed immediately. We encourage users to report content that they believe violates these Terms or our community guidelines – you can use in-platform reporting tools or email us at [email protected]. 

Moderation and Enforcement 

Northsocial.ca uses both automated tools (including AI algorithms) and human moderators to help keep the Platform safe and enjoyable. Automated moderation may scan posts, comments, and even private messages for red flags (such as patterns of spam or keywords indicating prohibited content) to flag potential violations for human review. Manual moderation means our team may review content or behavior that’s been reported by users or flagged by our systems. 

We reserve the right (but do not assume an obligation) to monitor activity on the Platform and to remove or disable access to any content for any reason, at our sole discretion. This includes content that we believe violates these Terms, our policies, or applicable law. We may remove content or suspend/terminate accounts without prior notice, although we will strive to act fairly and, when feasible, provide notice or an explanation. Northsocial.ca staff and moderators have the right to edit or remove any content that, in our judgment, violates these Terms or is otherwise objectionable. 

If your content is removed or your account is affected as part of our moderation process, and you believe this was a mistake, you may contact us to request a review. However, our decision on such matters will be final. We are not liable for any consequences (such as loss of data or loss of access to your content) resulting from moderation actions. 

Marketplace Feature and Transactions 

Northsocial.ca may include a Marketplace feature where users can list items or services for sale and others can inquire or make offers. By using the Marketplace, you agree to the following additional terms: 

  • No Endorsement or Vetting: Northsocial.ca does not pre-screen or endorse any items, services, or users on the Marketplace. All transactions and interactions are solely between the buyers and sellers. We do not guarantee the existence, quality, safety, or legality of items or services listed, the truth or accuracy of users’ descriptions or listings, or the ability of sellers to sell or buyers to pay. 

  • User Responsibility: If you buy or sell through the Marketplace, you do so at your own risk. It is the responsibility of buyers and sellers to arrange payment, delivery/shipment or meet-ups, and to resolve any disputes that arise. Northsocial.ca is not a party to Marketplace transactions and will not mediate or reimburse parties for any issues (such as non-payment, non-delivery, or misrepresentation of items). We strongly encourage users to exercise common sense and good judgment in all transactions (for example, verify the other party’s identity, meet in safe public places for in-person exchanges, and use secure payment methods). 

  • Release of Claims: To the fullest extent permitted by law, you release Northsocial.ca / Zynim Media Inc. and our officers, directors, employees, and agents from any claims, demands, and damages arising out of or in any way connected with any dispute you have with one or more users or third parties in connection with the Marketplace. 

Northsocial.ca may provide certain tools or safeguards (like user ratings, moderated comments on listings, or flagged item reports) to help improve Marketplace safety and trustworthiness, but we do not guarantee any particular outcome. We reserve the right to remove Marketplace listings that violate our policies or that receive credible complaints. 

Business and Advertiser Accounts – Additional Terms 

If you create a business or advertiser account on Northsocial.ca (for example, a page for your local business or an account to run advertisements or sponsored content), the following additional terms apply: 

  • Accuracy of Information: Business accounts must be created by an authorized representative of the business or organization, and the information provided (business name, contact details, description, etc.) must be accurate and kept up-to-date. Misrepresenting your affiliation with a business or creating a page for a business without permission is prohibited. 

  • Compliance with Laws: In addition to these Terms, you are responsible for ensuring that your business page content and any promotions or advertisements you run comply with all applicable laws and regulations (including, for example, truth-in-advertising laws, contest or sweepstakes rules, and privacy laws regarding the handling of personal information). 

  • Advertising Content: If you use our advertising services, you may be required to agree to additional terms and conditions specific to advertisers. All advertisements or sponsored content must be clearly identifiable as such to users. We reserve the right to reject or remove any advertisement that violates our policies or community standards, or that we deem inappropriate for the Northsocial.ca community. 

  • Payment: Advertiser accounts are responsible for all charges associated with their advertising campaigns. Fees will be clearly disclosed at the time of campaign purchase or setup. Payments are due as indicated, and late payments may incur interest or account suspension. 

Intellectual Property Rights 

Our Content: The Platform (including the software, design, and all text and images not provided by users) is owned by or licensed to us and is protected by intellectual property laws. Northsocial.ca and its logos and any Northsocial.ca product or service names are our trademarks. You may not use our trademarks without our prior written permission. 

You are granted a limited, non-exclusive, non-transferable license to access and use the Platform and any content provided by Northsocial.ca for your personal use. Except as expressly allowed by these Terms, you agree not to copy, modify, distribute, perform, display, or create derivative works of any of our content or the Platform’s underlying code without our prior written consent. 

Your Content: You retain all rights to the content you post on Northsocial.ca, subject only to the license you grant us above. We do not obtain ownership of your content. If you believe someone is infringing on your intellectual property rights on the Platform (for example, someone is using your copyrighted work without permission), please notify us in accordance with our copyright policy (which complies with the Canadian Copyright Act and, where applicable, the U.S. Digital Millennium Copyright Act for notification and takedown procedures). We will respond to copyright and other IP infringement claims promptly, and may remove or disable content alleged to be infringing and/or terminate the accounts of repeat infringers. 

Third-Party Links and Integrations 

The Platform may contain links to third-party websites or services, or incorporate third-party provided features (such as map services, payment processing, or social sharing tools). These third-party sites and services are not under our control, and we are not responsible for their content or any consequences of your visiting them. Links are provided for convenience and reference only. We do not endorse and are not liable for any content, advertising, products, or other materials on or available from such external sites or services. If you choose to access or use any third-party websites or services linked from Northsocial.ca, you do so at your own risk, and you may be subject to their terms and conditions and privacy policies. 

If Northsocial.ca offers integration with third-party platforms (for example, an option to share content to an external social network, or to log in via an identity provider in the future), those interactions may involve sharing certain data with that third party (with your consent, where required). Any third-party integration we enable will be governed by both our Privacy Policy and the third party’s privacy practices. We will make an effort to inform you what information is shared and give you choices where appropriate. 

Termination of Account or Access 

By You: You may stop using the Platform at any time. You may also delete your account at any time through your account settings (see Privacy Policy Section 9.4 on deletion of account and data for more details on how we handle account deletion). Deleting your account will generally remove your profile and content from the Platform, but note that content you shared with others or posted publicly may persist as described in these Terms and our Privacy Policy. 

By Us: We reserve the right to suspend or terminate your access to the Platform (or certain features of the Platform) at any time, for any reason, and without advance notice. Grounds for termination may include, but are not limited to: violation of these Terms or our other policies, repeated inappropriate behavior, extended periods of inactivity, or technical or security issues. In most cases of minor violations, we will attempt to warn you and provide an opportunity to correct the issue; however, for serious violations or legal risks, we may deactivate or terminate accounts immediately. 

If your account is terminated by us, you agree not to create a new account without our permission. We may use technical measures to prevent terminated users from returning. Termination of an account will not waive or affect any right or relief to which we may be entitled at law or in equity. 

Disclaimers of Warranty 

Northsocial.ca is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties and conditions of any kind, whether express, implied, or statutory, regarding the Platform. This includes, but is not limited to, any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties that may arise from course of dealing or course of performance. 

We do not guarantee that the Platform will be uninterrupted, secure, or error-free. We do not guarantee the accuracy or reliability of any information obtained through the Platform (including user content), or that any defects in the Platform will be corrected. We do not warrant that the Platform will meet your expectations or requirements. 

Any material downloaded or otherwise obtained through the use of Northsocial.ca is done at your own discretion and risk. You are solely responsible for any damage to your computer system or mobile device, or loss of data, that results from the download or use of any such material. 

Limitation of Liability 

To the fullest extent permitted by applicable law, in no event will Northsocial.ca, Zynim Media Inc., or its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from: (a) your access to or use of (or inability to access or use) the Platform; (b) any conduct or content of any third party on the Platform, including defamatory, offensive, or illegal conduct of other users or third parties; (c) any content obtained from the Platform (including reliance on information or advice provided on Northsocial.ca); or (d) unauthorized access, use, or alteration of your content or account. 

In no case will our aggregate liability for all claims relating to the Platform exceed the amount (if any) that you paid us to use the Platform in the 12 months preceding the claim. In jurisdictions that do not allow the exclusion or limitation of certain damages, our liability will be limited to the minimum extent required by law. 

Indemnification 

You agree to indemnify and hold harmless Northsocial.ca, Zynim Media Inc., and our affiliates, officers, directors, employees, and agents, from and against any and all complaints, charges, claims, losses, damages, costs, liabilities, and expenses (including attorneys’ fees) due to, arising out of, or relating in any way to: (a) your access to or use of the Platform; (b) any content you post, upload, or otherwise make available on the Platform; (c) your breach of these Terms or of any representation or warranty contained in these Terms; or (d) your violation of any applicable law or regulation or any rights of another (including intellectual property rights or privacy rights). 

We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (at your expense), and you agree to cooperate with our defense of such claims. You will not settle any claim that affects Northsocial.ca or Zynim Media Inc. without our prior written approval. 

Governing Law and Dispute Resolution 

These Terms, and any dispute or claim arising out of or in connection with these Terms or your use of the Platform, will be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without giving effect to any conflict of law principles. 

Jurisdiction: You agree that any legal proceedings (other than small claims actions) must be filed in the courts of competent jurisdiction located in the Province of British Columbia, Canada, and you hereby consent and submit to the personal jurisdiction of such courts for the purpose of litigating any such action. 

Informal Resolution: Before filing any formal legal claim against us, you agree to first contact us at [email protected] to provide a written description of your issue so that we have an opportunity to resolve it amicably. We will do our best to address your concerns without the need for litigation. If we are unable to resolve the dispute within 30 days of your initial email, then either party may initiate formal legal proceedings. 

Exceptions: Notwithstanding the foregoing, either party may seek injunctive relief in any appropriate jurisdiction to address intellectual property infringement or unauthorized use of the Platform, since such issues may require urgent and equitable remedies. 

Changes to These Terms 

We may modify these Terms from time to time to reflect changes in our service, legal requirements, or for other reasons. If we make material changes, we will provide you with notice in a manner commensurate with the significance of the change (for example, by posting a prominent notice on the Platform, updating the “Last Updated” date at the top, and/or by sending a notification through email or the Platform). The updated Terms will be effective when they are posted, unless a later effective date is specified. 

By continuing to use Northsocial.ca after any changes to the Terms become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you must stop using the Platform and, if applicable, delete your account. We encourage you to review the Terms periodically for the latest information on our policies. 

General 

Entire Agreement: These Terms (along with the Privacy Policy and any additional guidelines or terms we provide for specific features) constitute the entire agreement between you and Northsocial.ca regarding your use of the Platform, and supersede any prior agreements on the same subject matter. 

No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver must be in writing and signed by an authorized representative of Zynim Media Inc. to be effective. 

Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect. 

Assignment: You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to others (for example, if we undergo a corporate reorganization or acquisition) without restriction. 

No Agency: No joint venture, partnership, employment, or agency relationship exists between you and us as a result of these Terms or your use of the Platform. You do not have any authority of any kind to bind us in any respect. 

Survival: Provisions of these Terms that by their nature should survive termination (such as indemnification, limitation of liability, governing law, and dispute resolution provisions) will remain in effect after any termination or expiration of these Terms or your use of the Platform.
